Your Private Company Registration: Steps and Requirements

Your Private Company Registration begins when you brainstorm potential names for your business. Think of four unique options for your (Pty) Ltd. Avoid punctuation, as most characters are not allowed. If a name closely resembles a well-known brand, reject it immediately to prevent disputes over usage rights.

Choosing your business partners is one of the most important decisions you will make. Directors manage the business, while shareholders own it. You must gather all relevant information, including residential, business, postal, and email addresses, contact numbers, and high-quality digital copies of their IDs on your computer.

The CIPC requires clear images of directors’ faces. Poor-quality scans or faxed copies may appear in shades of black and white. If your documents fail to meet requirements, we will notify you and request higher-quality copies, which may take time to retrieve.

Franchises must provide a signed, original letter from the name owner to register a company with that name. Failing to provide this letter will result in name rejection.

Without registration, you must pay personal tax on all business profits. South African personal tax brackets mean higher earnings result in higher tax rates. By registering as a (Pty) Ltd, you can legally control how to distribute profits and potentially reduce your tax burden.

Your Private Company Registration Application

The registration process starts by completing the PDF form we send to you. Along with the form, you must submit additional documents, including a Power of Attorney, ID copies, and proof of payment, before we can submit your application to the CIPC.

Name Registration

We compare your four name options against the national database to prevent fraudulent businesses or competitive conflicts. If CIPC rejects your first choice, they will review the other three names. Once CIPC approves your name, we send all documents to the Commission.

Alternatively, you can register a company without a formal name. In this case, the registration number becomes the company’s official identifier.

Completing the Registration

After CIPC registers your company, they email the completed documents to us, confirming your registration. At this point, your company registration is complete, and you may operate as a legally recognised entity.

The Companies Act of 2008 prohibits the registration of new Close Corporations and non-profit companies as of 1 May 2011. However, existing CC registrations remain valid indefinitely. If you own a CC, you can still update the company’s name or membership details through CIPC.
